In the wake of strong results from Sun International, driven in large part by Sunbet, its online sportsbook, Peermont has closed down its bespoke sportsbetting operation Palacebet, fuelling industry speculation around this. Sun International has recently acquired Peermont.

Sun International once again produced a strong set of results despite South Africa’s economic headwinds and energy crisis. Income for the year was up 7% from the prior year to R12.1 billion and South African adjusted EBITDA was up 3.0% to R3.4 billion. Record SunBet income and profitability exceeded its 5-year targets.

Gaming income, which makes up 76.8% of total group income, showed continued sustained growth with income up 3.3%. Despite the difficult economic climate and increased competition, casino income proved resilient while Sun Slots’ operations were impacted by load shedding, with income slightly behind the prior year. Sun International’s latest financial performance is explored in this issue.

While online sportsbetting in South Africa is showing record results, this may only be the tip of the iceberg as we see from a report titled: Global Sportsbetting Market Set to Reach $143.73 Billion by 2027. The global sports betting market is poised for substantial growth in the coming years, with a projected increase of USD 143.73 billion from 2023 to 2027 according to latest research from Technavio. The market is anticipated to maintain a compound annual growth rate (CAGR) of 10.68% during this period. In 2022, APAC dominated the market share, and the region is expected to witness a significant incremental growth of 42%. As global forecasts predict phenomenal results for sportsbooks, South Africa may lag behind significantly and never catch up in terms of online gambling regulation, which adds interest to the news that the country’s official political opposition is tabling a bill in parliament to play catch up on what it calls 16 years of wasted opportunity around remote gambling.

In a sad development, the passing of Dr. Hassen Adams, a prominent figure in South Africa’s gaming industry and founder of Grand Parade Investment (GPI), marks the end of an era. His legacy of empowerment and community involvement leaves a lasting impact on the industry and beyond.

South African Opposition Tables Remote Gambling Bill, Calling for Regulation of Online Gambling

South Africa’s official opposition party, the Democratic Aliiance’s Remote Gambling Bill aims to regulate online gambling after what it claims is ANC’s 16-year lapse

Dean Macpherson, DA Shadow Minister of Trade, Industry and Competition issued a statement, shortly after tabling the Bill in Parliament:

“The Democratic Alliance (DA), today, officially had its Remote Gambling Bill, 2024, introduced in Parliament after more than two years of drafting and consultations with industry experts. This initiative comes in response to the significant oversight by the ANC in failing to provide adequate protection and regulation within the online gambling industry.

In 2008, the National Gambling Amendment Act, which regulated online gambling, was assented to

by the President. However, after nearly 16 years, it has still not been brought into operation, meaning that a legal gap continues to exist in the industry. It is highly concerning given the massive strides and advances online usage has increased and grown since then. By not regulating this gambling activity, the erosion of the rule of law and criminal activity is being encouraged, while the public is not effectively protected as they are when using land-based gaming operations. At the same time, a lack of regulation is resulting in revenue worth billions of Rands and jobs being lost to other gambling jurisdictions

The ANC government has shown, over these 16 years, that it has no intention of protecting players and the industry from criminal elements. The DA has therefore taken it upon itself to ensure adequate protection by means of introducing this private member’s bill.

The Bill aims to regulate the issuing of licenses to be controlled by the relevant provincial authorities, not the centralised national gambling board which now operates as a shadow of itself; provide for procedures relating to objections from issuing of licenses; regulating advertising of interactive/ online gambling entities; provide for the protection of minors and vulnerable persons; and ensure that there is compliance with FICA.

As mentioned, the Bill has taken over two years of work to bring to fruition and finds the perfect balance between protection, regulation, and administration. With the upcoming 29 May national and provincial elections, the ANC looks set to drop far below the 50% majority mark, which means that in the new Parliament, it will no longer have its majority to reject legislation on frivolous grounds only out of spite because it came from an opposition party. It is Bills like the Remote Gambling Bill which are vital to protect the most vulnerable people and with the ANC below 50%, the DA can ensure that this will be the first of many Bills introduced to rescue South Africa” - Dean Macpherson, DA Shadow Minister of Trade, Industry and Competition

Gaming Industry legal expert, Garron Whitesman of Whitesman Attorneys gave his comments on the Bill: “The Bill is definitely a step in the right direction in the effort to create a more certain and consolidated set of rules for online operators and to reflect international trends of regulating online casinos, sportsbooks, betting exchanges and the like. The Bill definitely needs some work though and will no doubt be subject to pretty vigorous debates from and between different interested parties. Overall though, I see this as a very positive development for the SA gambling and betting market.”

Peermont Shuts Down Palacebet

Peermont has taken the decision to close its online sports betting and live games operation, PalaceBet.

Anotification to players read: As of midnight on Tuesday 16 April 2024 PalaceBet will no longer be accepting new registrations or deposits on current accounts.Players with a positive money balance in their account can still bet or withdraw funds until 29 April 2024 (they will need to ensure FICA documentation is up to date for speedy transfers). Thereafter, all open bonuses will be cancelled and no further bets will be accepted. For sports betting, all unresulted bets will be cancelled and funds with be refunded.

Although no official announcement has been made by Peermont, speculation is that the decision to close the operation may be

related to Sun International’s recent acquisition of Peermont. Sun International’s sportsbetting operation Sunbet forms a large part SI’s success

and the decision may make commercial sense to roll Palacebet’s database into Sunbet’s operations.

Sun International once again produced a strong set of results despite South Africa’s economic headwinds and energy crisis. Income for the year was up 7.0% from the prior year to R12.1 billion and South African adjusted EBITDA was up 3.0% to R3.4 billion.

Adjusted headline earnings was up 4.6% on the prior year, to R1.1 billion, with adjusted headline earnings of 468 cents per share, up 5.9% on the prior year.

SunBet generated record income during the 2023 financial year, up 116.2% for the year and is ahead of its aggressive growth targets. Resorts and hotels income achieved exceptional growth, income was up 17.4% to R3.0 billion on prior year.

Gaming income , which makes up 76.8% of total group income, showed continued sustained growth with income up 3.3%. Despite the difficult economic climate and increased competition, casino income proved resilient while Sun Slots’ operations were impacted by load shedding, with income slightly behind the prior year.

Sun International CE Anthony Leeming said: “Sun International’s performance reflects the quality of its operating businesses and disciplined execution on strategy which continues to drive shareholder value.“

The adjusted EBITDA margin was impacted by increased diesel costs of  R60 million compared to the prior year and the relatively higher growth in income from resorts and hotels, which operates at a structurally lower margin than urban casinos. Overall, the adjusted EBITDA margin improved from 27.2% at the 2023 half

year, to 28.1% for the full year.  Excluding the impact of the   net diesel costs attributable to load shedding, the group would have achieved a 28.9% adjusted EBITDA margin. A renewable energy strategy is being implemented to protect margins and ensure energy security.

The group is in a strong financial position as it continues to degear, with South African debt (excluding IFRS 16 lease liabilities) at R5.7 billion, down from R5.9 billion as at 31 December 2022, with debt to adjusted EBITDA at a comfortable 1.7 times. The debt levels take into account the payment of the 2022 final dividend of R632 million and the interim dividend of R388 million.

In line with Sun International’s dividend strategy to provide its shareholders with an appropriate, sustainable pay-out over the long term while maintaining a targeted debt to adjusted EBITDA ratio of 2 times and a pay-out ratio of 75% of adjusted headline earnings per share. The board has resolved to pay a  final gross cash dividend of 203 cents per share totalling R532 million, bringing total dividends for the year to 351 cents per share totalling R920 million and equating to a dividend yield of 9.0% as at 15 March 2024.

On 18 December 2023, Sun International announced, the proposed acquisition of Peermont Holdings Proprietary Limited (“Peermont”). Peermont is a leading hospitality and entertainment group of companies which operates 11 properties across South Africa and Botswana, in addition to the online sportsbook, PalaceBet.

The proposed acquisition was put  to a vote by shareholders at an Extraordinary General Meeting which was held on 4 March 2024. Shareholders overwhelmingly approved the proposed acquisition. The transaction is now awaiting regulatory approvals and the fulfilment of the remaining conditions precedent.

“The acquisition is a unique opportunity to acquire the world-class and highly cash generative Peermont business which will deliver enhanced quality of earnings and cashflow generation of the group. It will also increase the contribution of land-based and online gaming revenue to the combined group, in line with our strategy,“ said Leeming.

Despite an increase in diesel costs due to load shedding, urban casino income was up 0.2%, with adjusted EBITDA, pre-management fee, of R2.4 billion for the year. The adjusted EBITDA margin, pre-management fees, of 35.2% was down 2.3% on 2022. The group continues to drive cost mitigation strategies, including the launch of a renewable energy programme.

“Our urban casino strategy is anchored on our core focus areas, being customer acquisition and retention, customer experience and margin improvement and we have made considerable investments in each of these areas,“ Leeming said.

SunBet continued its strong growth trajectory and is exceeding its 5-year targets. Overall income was up 116.2% for the year, to R733 million delivering record adjusted EBITDA of R221 million. Active players continued to grow, with additional games being offered and the overall player experience being enhanced.

At the end of 2023, SunBet achieved substantial growth in its key performance indicators against the prior year, which included:

• unique active players up 269.4%;

• first time depositors up 286.6%; and

• deposits up 162.5%.

SunBet offers the group significant and exciting growth potential and with this in mind, the group continues to invest in people and marketing in order to significantly increase its share of the fast-growing online gaming market.

Sun International resorts and hotels had an exceptional year, with strong growth in income and encouragingly, a significant improvement in the adjusted EBITDA margin, following the significant work done on the cost base. Domestic leisure, conferencing and sports and events revenues continue to grow while the international leisure business recovered strongly during the year. Within the segment, rooms and

Kenya Betting Regulator Enforces Court Order Against Speed Dial Feature On Internet Browsers

Kenya’s Betting Control and Licensing Board (BCLB) has initiated the enforcement of a High Court order prohibiting all gaming operators from utilizing the speed dial feature on internet browsers, primarily provided by the Opera Mini Browser and Google.

This action by the betting regulator marks a victory for the Consumer Federation of Kenya (COFEK) and consumers following a petition filed by the consumer lobby.

In a recent letter BCLB Director Peter Mbugi instructed all gaming operators to adhere to the board’s directive promptly. Failure to comply with which, would result in the regulator pursuing contempt of court charges against them.

Mbugi’s letter referenced the Board’s circular dated August 11, 2023, regarding the use of the ‘speed dial’ feature on internet browsers, as well as a court order issued by the High Court in Nairobi on January 16, 2024.

“We make reference to the Board’s circular REF: BCLB 8/71 VOL.1 (157) dated 11th August 2023 on the use of ‘speed dial’ feature on the internet browsers. We further make reference to a court order issued by the High Court at Nairobi in the above-stated matter on 16th January 2024. This is therefore to direct that you cease with immediate effect, the use of the

‘speed dial’ feature on all internet browsers,” Mbugi stated.

Mbugi also cautioned that those who fail to comply will face appropriate legal action. “Failure to comply with the board’s directive shall lead to the commencement of the necessary processes as stipulated under Section 4 (1) (b) of the Betting Lotteries and Gaming Act, CAP 131 of the laws of Kenya in compliance with the order issued by the High Court. Be informed accordingly,” Mbugi warned. COFEK raised concerns in their petition, alleging that betting firms were exploiting the feature to target Kenyan internet users indiscriminately, irrespective of age. Affected gaming companies include Betika, OdiBets Kenya, Sportpesa, Peteta, and 1XBET Kenya, among others.

COFEK expressed in a letter to BCLB, “Based on our research and consultations with line experts, we hereby confirm that browser providers, such as Opera, have introduced a “speed dial” feature, specifically curated for the Kenyan market. This offending feature,

sponsored by betting firms (your licensees), ensures these betting services are prominently displayed, regardless of the user’s age, religion and other diversities.”

The speed dial feature in a browser presents visual thumbnails of the user’s frequently visited websites, allowing quick access to these sites with a single click.

COFEK emphasized that the continuous display of betting advertisements posed a significant risk to millions of underage citizens who could access smart devices intermittently, with or without permission from parents or guardians.

For example, COFEK pointed out that a browser like Opera Mini had introduced a speed dial feature tailored for Kenya, displaying five to seven shortcuts to leading betting firms on any given day.

BCLB acknowledges that gaming operators adopted the speed dial feature, resulting in the prominent display of betting services without considering the age, vulnerability, and other diversities of internet users.

The recent wave of cyberattacks targeting the global casino and hospitality industries has raised alarm bells. Carey van Vlaanderen, CEO of ESET South Africa, says smaller chains, online gaming sites and their customers are equally susceptible. Fortunately, there are steps individuals can take to reduce the risk of their personal details being compromised.

Sophisticated cyberattacks, like the one reported by MGM Resorts in the United States, in which digital room keys stopped working and manual payouts were required for slot machines, are a stark reminder that cybercriminals are organised and highly skilled. However, it’s not only major international brands that have been

compromised. Smaller entities have faced security breaches too. Another case in 2023 involved a ransomware attack on a small US-based casino chain. According to reports, hackers spent four months exploring systems after breaching the company network, via a targeted phishing email sent months before. Van Vlaanderen says cyberattacks can occur at any time, with increased likelihood during periods of heightened activity. “People tend to be much more relaxed, when engaging in leisure activities, including visiting casinos and online gaming. Cybercriminals are well aware of this, and will often target individuals when they’re less vigilant, or choose to attack businesses during busy periods for maximum impact.”

“Casinos are complex ecosystems, often interlinked with hospitality services. This interconnectedness exposes them to a range of cyber risks, from customer data breaches to operational disruptions. This means that customer data available to hackers could include personal details of customers as well as sensitive financial information linked to the booking and rewards programme information for the hotels and dining establishments associated with casinos,” explains van Vlaanderen.

The popularity of online betting platforms and immersive gaming casinos has also become an attractive target for fraudsters.

“Cyberattackers are well aware of the lucrative opportunities in online gaming. The integration of financial services, like credit cards and banks, into gaming accounts means there is a risk not only for the businesses themselves, but their customers too,” van Vlaanderen notes.

In light of the risks, robust cybersecurity measures are critical for individuals and businesses to safeguard their digital presence. “There are a number of steps

and helpful guidelines to follow to safeguard personal and financial information in the gaming and hospitality sectors,” adds van Vlaanderen.

‘The revoir is a state of the art structure that looks like a big money vault, but it contains something a lot more precious,’ says Peermont Maintenance Manager Jannie Roos, who spearheaded the project since 2023.

‘Emperors Palace can utilize up to 800 000 litres of water a day, which is equivalent to about 5 300 bathtubs being filled up. However, with the implementation of our onsite boreholes and a water reservoir we’ll have a storage capacity of 2.9 million litres.’ The project not only prioritizes water conservation and management, but alleviates pressure on ailing municipal infrastructure in the Ekurhuleni area.  In

addition there is a fire reservoir of 600 000 litres in the event of a fire which further unburdens local water resources.

With the prevalent sunshine of Gauteng, The Palace of Dreams boasts an impressive array of 13 000 solar panels which generating over 3,424 kWh, which is enough to power 180 houses. ‘One of our integral waste reduction initiative is our organic composter,’ says Peermont Hospitality Executive Dave Milne , of the industrial waste machine that converts all organic waste into nutrient-rich compost. ‘The composter is integral to us since we have over 16 restaurants on complex as well as 3 hotels and being able to dispose of organic waste on the property further contributes to environmental sustainability and not ending up in municipal landfills.’

The compost is donated to local golf courses to successfully sustain their fairways with the rich organic matter.

In 2023, Emperors Palace made noteworthy strides in sustainability, doing their part to conserve energy. ‘Last year we managed to reduce our carbon footprint quite significantly,’ says Milne, sharing the numbers from the various green initiatives.

GPI Founder Hassen Adams Passes Away

Dr Hassen Adams, former chairman of SunWest and founder of Grand Parade Investment (GPI), passed away on Wednesday, March 27 following a long illness at the age of 72. Adams, an engineer, has left a legacy not only of financial astuteness, but of empowering people and community involvement. Hassen held directorships in diverse industry sectors including construction, gaming, shipping, entertainment and leisure, and had extensive experience in corporate finance. He was awarded an Honorary Doctorate in Philosophy from the Department of Economic and Management Science at the University of the Western Cape.

In 1996, six people met in Cape Town to establish a truly broad-based empowerment company that could represent the diversity of marginalised communities in the Western Cape. One of them was Adams, the founder and future chairman of GPI.

Sun International said in a statement last week, “One by one, shareholders were recruited at small community meetings and roadshows held across Cape Town’s townships. Dr Adams formed part of the team who persuaded each shareholder that by committing their hard-earned savings into starting GPI, they would one day reap handsome benefits.

“It did not take long. With R28million in capital GPI was born, becoming the BBBEE partner in SunWest, the Western Cape subsidiary of gaming and hospitality group, Sun International. As the SunWest Chairperson Dr Adams became a stalwart supporter of GrandWest, The Table Bay Hotel, and Golden Valley Casino and

Lodge,” it said.

GrandWest General Manager, Mervyn Naidoo said, “We are deeply saddened by the tragic loss of a giant. Hassen Adams the man was truly a trail blazer. He took on and conquered insurmountable challenges throughout his entire life, and served as an inspiration to me and so many others. He rose from humble beginnings, which he never forgot, to become an entrepreneurial businessman.

“He loved his family, he loved his grand kids and he loved life. He stayed true to his roots and always treasured and supported our local communities.

“He approached business with never ending zest and vigour. Nothing was impossible for him. He always found a way, in fact the harder the challenge, the more determined he became. The beacon that was Hassen Adams may have been sadly extinguished, but the light that brightened so many lives will shine on forever. Dr Adams, you leave a rich legacy that will live on forever,” Naidoo said.

The Table Bay hotel general manager, Joanne Selby said, “Despite achieving business success he never forgot his roots as a young child in District Six and other Cape Flats communities.

“To the end Dr Adams stayed true to his values, never forgetting where he came from, and what he set out to do.

His warmth and passion for life touched many people, and he will be remembered with great affection and fondness by myself and the management and staff of The Table Bay hotel.”

Adams love of horses led to his becoming the owner of a large string of thoroughbred race horses and a successful breeder in South Africa.

Sun International said, “Empowerment pioneer and innovator Dr Hassen Adams, former Chairman of SunWest, has sadly died in Cape Town todat following a long illness which he bore with grace and courage.”

He played an integral role in our Western Cape developments with the launch of GrandWest, The Table Bay hotel and The Golden Valley Casino and Lodge.

“We would like to extend our deepest sympathy to his family. He will be missed by many,” it said.

In 2013, Adams partnered with Burger King Worldwide to bring the franchise to South Africa. He was also instrumental in putting together the consortium for the buyout of the V&A Waterfront with Sheikh Mohammed, the ruler of Dubai, and others, which was eventually sold.
