Though the introduction of GST routine is not completely helpful for startups, it definitely is said to help the growth. Let’s take a tour of the pros and cons of GST and its impact;

PROS; Starting A Business: There were a number of tax compliances that had to be followed earlier to start a new business, but after GST coming into the picture all the sales and indirect central taxes have been consolidated. Presently the paperwork has been reduced and the registration is single as well. The time consumed in this process can be now devoted to more constructive means in the business. Any business that has a turnover of less than 20 lakh does not need to anymore register for VAT which was not the case earlier. Presently all the startups and small businesses are exempted from a structure of this nature. Logistics Cost: The reduction in the tax procedures after the introduction of GST has majorly helped in multiplying the inter-state delivery of goods and services all through the country. From state to state there was OCTROI tax that had to be paid before crossing the borders which would eventually increase the expenditure of the business. Presently there has been a uniformity bought in the same tax all through the country. The entire process of registration and payment of tax has been made available online. Multiple Taxations: There were taxes levied on goods multiple times which eventually swelled the price they were paying for the goods in comparison to the original price. The introduction of GST has eliminated such taxation by valuing tax on only the goods produced as the final product. Invoice: There has been a uniformity bought in the application of taxes resulting to which the distinction between the goods and services has been evaded. There are a number of advantages that can be availed now in terms of tax incentives.

Tax Credit Process: You will automatically not be eligible for Input Tax Credit if the supplier has not filed and paid their taxes. The major drawback about this is that if in the supply chain even one of the link has failed, it will result in great damages to the company. Technological Challenges: One of the major problems in a country like ours is technology and this has impacted the process of GST and the startups because the complete process has now been shifted online. And this online process may not be completely successful due to lack of technology or even the basic knowledge of it. Tax Collection: In the initial phase the cost is endured by the startup but later the TCS (tax collected at source) has to be paid by the owner and they would receive the refund only after filing the return. Capital Blocking: Since the GST routine has been introduced, the funds have to be uploaded by the startups in electronic form with the tax department which will lead in blocking of funds substantially. A startup will have to basically set aside a portion resulting in choking of the capital in the input tax credit system. Compliance Parameter: If there is a prospective buyer, they will be at the disposal to check the GST compliance rating and decide about the credibility of the company like the credit score. The guidelines are extremely stringent of the compliance and come at a certain bandwidth and cost. Reverse Charge: If the goods are transferred from one business that does not need to pay GST, to another that is obliged to pay, in this case, the buyer is the one who would be taking care of all the taxes. They have to selfinvoice and then upload the same on the GSTN while they file their return. This is nothing but just a bad debt that has to be paid by the buyer.

Consolidation: Difficult interstate movements, complicated taxes, cost of compliance, and more have all come to an end after GST came into being. Under this regime, there is only one tax to be paid ensuring that the whole procedure is centralized.

Freelancers: If the business person does not have a fixed place to do the business from, they have to enroll themselves as a casual taxable person under GST. It becomes mandatory for the person to do the registration because they do not come under the bar of 20 lakh being freelancers.

CONS;

Breaking away from the ‘Gender Stereotypes’ As a lawyer, I am well-versed with the ambit and scope of the Right to equality and consequently, I am a firm believer of women empowerment. Moreover, my personal experiences have taught me that not only are the women at par with men in most of the industries already, but in certain cases, they are also way ahead of their male counterparts,” believes the founder. Kasliwal believes that the idea of women entrepreneurs is the need of the hour, but the same is yet to be discovered and implemented in full swing, in the Indian society/ judiciary. They have an abundance of live examples which are a testimony to the fact that women are no less than men, when it comes to making way with business setups. Unfortunately, some parts of the Indian society, especially in the rural areas, are still not aware of the vigor and endless potential of women, and hence, the women are still looked down at in such parts. As an advocate of the idea of women empowerment, he tends to make sure to extend ample opportunities to the female workforce under him, just like other male counterparts. At the same time, he also makes sure that there is no discrimination of any kind which is faced by any of the females associated with his firm. However, as a lawyer, he is a firm believer of gender equality, hence; he supports both the genders equally instead of preferring one over the other. Therefore, he seems absolutely objective in his approach when it comes to assigning tasks to the members of his workforce.

Brief Anecdotes “During my initial years as a lawyer, I handled a case which is widely recognized as the Andy Pagnacco (Andy Pag) case. Mr. Pagnacco was a British and an Italian citizen, who was travelling around the world in a bio diesel bus, and came to India via Wagha border after crossing Iran, Turkey and Pakistan. On 10th January, 2010, he was arrested in Pushkar (near Jaipur) for illegally carrying a satellite phone. On receiving a call from the office of the Italian Consulate, I took up his case, and argued that since the satellite phone wasn’t considered a security threat at the Wagha border, and since Mr. Pagnacco was only an eco-tourist, he had the right to be given bail. After that, I was able to free him and we won the case later. In this entire episode, I, as his lawyer, was the only ray of hope for Mr. Pagnacco, in a foreign land, and therefore, I had a duty to try my best towards delivering the task at hand and further to supply necessary clothing to him while he was in

jail, on humanitarian grounds. I also remember that during a visit to a Central Jail (Jaipur) once, I came across a Bangladeshi prisoner called Habibulla, who had helplessly been in jail for 5 years by then, for a very petty reason. Being a young foreign national who was unfamiliar with the procedures in India, he could not understand as to what he could possibly do so as to gain back his freedom. The meeting had a great impact on me and I decided to help him towards earning back his freedom. I subsequently moved a Habeas Corpus (writ) before the Rajasthan High Court, and got him freed and sent to his homeland Bangladesh. As a consequence of both these episodes, for the first time I felt the presence of an element of sheer optimism and hope, which all the legal professionals carry with them. This experience taught me that we lawyers are the torch-bearers of justice and the ones responsible for maintaining order amongst the society. Because of the same reason, my respect for the legal profession touched brim after this episode, and I would like to welcome the young aspirants looking up towards entering this profession by telling them not to get scared of the little inhibitions and uncertainties of this profession, and rather embrace the same with open arms so as to experience the feeling of endless gratification this profession has to offer.” says the practitioner himself.

Also, with the ever expanding legal market, never ending technological advancements, everyday developments pertaining to worldly affairs and subjects like politics, bureaucracy, laws etc. and amidst all of these the utterly complex yet interesting client-needs, a law firm must essentially have plans in place to see what’s going on in the marketplace and to see whether one’s firm needs to make some changes or not in order to cope with the same; more so, when one aspires to get bigger and better. That being said, few years down the line, I plan to explore and introduce to my firm the concept of Artificial Intelligence, which, in the current times, has started to transform the legal profession in many ways, given the involvement of elements such as algorithms so as to enable the machines to share the workload of the human mind. Subsequently, the same will simplify and enable to expand the scope of multiple tasks such as legal documentation, research, due diligence, contract review/management etc. Also, in today’s Digital Age, E-Discovery is another area which has a huge scope for being explored by the legal professionals, which is the electronic aspect of identifying, collecting and producing electronically stored information in response to a request for production in a law suit. The same can involve emails, documents, presentations, databases, voicemails etc. and hence, could turn out to be a cumbersome, yet interesting task. Given that the digitalization is coming into play greatly, I have plans of taking up the practice pertaining to E-Discovery as well, eventually.” plans Kasliwal.

E-commerce now-a-days has acquired a supreme convenience in routine life, known as heart of national economy as well as known for its second most user availability after Social media platforms. This is not the only jolt out of the blue. The move to ban exclusive deals for products will also hit the major online retailers such as Flipkart and Amazon. Flipkart, for instance, has exclusive association with top smartphone brand like Xiaomi and Oppo. Smartphones contributes to over 50% of overall e-commerce Sales Revenue in India. A senior authorized official confirm the changes in the foreign direct investment policy (FDI) on e-commerce were aimed at tackling “anticompetitive” behavior by e-commerce entities. “There is a wrongful subsidization of products by e-commerce players. In the marketplace model, the e-commerce entity should be neutral to all vendors,” assert the official.

Note:E-commerce companies have to turnaround to the drawing board and analyze if their particular business models comply with the new requirements which are coming into force prospectively from February.

 Why is it evoking protests from companies?

The revised norms targets to protect the interest of domestic players, who have to tackle difficult sort of things and relatively tough competition from online-retailers having deep pockets enriched by foreign investors, the Ministry said. The policy would be effective from February 2019. “The move would completely prevent influencing prices by e-commerce players. This will also ensure better enforcement of FDI guidelines in e-commerce companies,” The policy frames a point that vendor will not be permitted to trade with more than 25% of its commodities on an online platform of a single E marketplace firm. “Inventory of a vendor will be deemed to be controlled by e-commerce marketplace entity if more than 25 per cent of purchases of such vendor are from the marketplace entity or its group companies,” the Commerce and Industry Ministry’s press note said. “An entity having equity participation by e-commerce marketplace entity or its group companies, or having control on its inventory by e-commerce marketplace entity or its group companies, will not be permitted to sell its products on the platform run by such marketplace entity.” Claims the statement.

What is a great worry??

According to Bejon Mishra, founder, Consumer Online Foundation (a consumer protection activists’ agency), once the new Bill gets enacted by the Rajya Sabha, it would be purely new manifestation. “Earlier a person could go to the consumer court only when s/he faced a challenging situation and or suffered from buying a product or availing a service. Now, there can be a suo motu case taken on any defective, substandard product or service provided in the marketplace by anybody,” pens Mishra.

arely does an entrepreneur travel to a foreign country for a short-term project, and then in the first few months befriend locals and start a company with them. The story sounds amazing, right? Yet it happened in Bangalore. This, however, is just one path of the larger road less traveled by Mr. Bruce T. Dugan. When the story began to spread - An American showed up and started a company with a couple of locals -- “Young people stated showing up at the cafe that we worked out of, wanting to join” Mr. Dugan recalls. When asked why he set up Incognito Worldwide around young and -- at that time -- inexperienced members, he just smiled and said, “It seemed like a good idea at the time, but continued -- I liked the guys: they were ambitious and hungry to be entrepreneurs. I felt compelled to see if I could pass on some of what I’ve learned during my 40+ years in business to see if I could help them achieve it.” Mr. Dugan had founded INICIA INCORPORATED in 2005, and co-founded its media - technology subsidiary in Buenos Aires in 2005 with co-founder and CTO Mario Delfino. In 2018 they’ve begun to work more integrated on several large scale projects. Incognito Worldwide, which was incorporated in India in 2014, though initially a techoriented company, shifted its prime focus in 2015 and since evolved into a full-service boutique digital agency. They offer branding & design, consulting, digital marketing, website development and technology integration. The company’s client base is mostly from the United States so it had to deal with time zone, language and culture barriers. It has, and now also serves as the back room fulfillment center for several agents in the U.S. The company has also expanded into online property partnerships, like iUrban.me and other magazines, and eCommerce stores like Ayurveda. online.

Dugan, spoke with our editor, Mr. Vikas Jha, to share some adventurous and learning experiences that he has had till now. Here are the excerpts. Hi Mr. Dugan, thank you so much for your time; we are honored to have you featured in Business Connect. Can you tell us something that we do not know about you?

I’m older than I look, and have many more business scars than I’m willing to admit (smiles). I love creating things, be it a new product, a marketing campaign, or writing an article, or book. Traveling and exploring new places and cultures is a passion for me; November on the beach in south Goa has become a favorite spot. I was born and raised in New York City, and still spend time there, as well as Buenos Aires, Argentina, and Bangalore, India, and had also lived off shore in Cannes, France, and San Pedro, Mexico. I’ve traveled most of southern India by motorcycle, and this past September (2017) -- along with Nihanth (who is a Director at Incognito) -- traveled by motorcycles to Khardung La in the Himalayas. It was amazing. Then on the 31st day, it wasn’t -- when a car swerved into my lane on the highway (in Kashmir) and hit me head on. My femur bone broke in 2 places and came right through the skin; I broke the ankle in 3 places, as well as the wrist in 3 and had to have reconstructive surgery. We were filming the trip for the documentary Ride Of Your Life (for First Drum Films), so some of the accident footage will likely be edited into the final cut of the film scheduled to be releases in 2019. As amazing as the traveling through the passes of the Himalayas were, the real adventure was the time I spent post accident in a military hospital in Kargil, a week in a government hospital in Srinagar, and then a 50-hour overland trip back to Bangalore (by car and train, because the airline would not let me board the airplane). It’s been over six months since my last surgery, and I’m still on crutches, And yes, once I’m walking again I will also be riding again! Tell us more about the company: The company continues to evolve and we’ve had our ups and downs. We gained notoriety early in the company’s lifecycle, being highlighted in key magazines, mostly celebrating our ability to consistently deliver quality work.

Some of the early participants in the company did things that hurt us, so they were let go while we then retrenched and recovered. We now have a strong team of individuals that are committed to our long-term success, a long list of happy clients, and an equity stake in several products and/or online properties. How does INCOGNITO differentiate itself from the competition? Mostly, as an American run company, we bridge the culture and language divide to deliver worldclass work at offshore pricing to American clients. How did the Internet marketing landscape look during the 1990s? Can you share a couple of Interesting things that happened back then? Internet marketing in the 1ate 1990’s didn’t really exist, it was mostly just directory listings and banner ads. Nobody really knew yet was the Internet was or how it could be used. Of course, before marketing became a dominant force on the Internet we still had several years to go before technology innovations came along to expand the Internet from being just an online brochure of information, into a true interactive space. If you had to give a few pieces of advice to small businesses on doing SEO in 2019, what would it be? SEO is an area of marketing that is ever-changing, so you need to always be learning to stay ahead of the curve. The other advice I’d give, especially for India-based SEO companies, is that if your clients are in the U.K., U.S., Canada or Australia, spend the money to get good, well-written content. I see so many articles coming out that I can immediately spot as written offshore by those where English is not their native language. Quality content matters. A Few words about Google’s RankBrain! According to Incognito Director of Marketing Kiran Kumar, “RankBrain is an A.I. that has elevated search

engine capability to new heights. As a marketing professional, it serves me and my efforts to have Google (through RankBrain) sniff out and downgrade SEO efforts that try to cheat and fool the search engines -as they successfully did until the last few years. Today, thanks to RankBrain, only those companies that deploy well thought out SEO strategies achieve good rankings.” Where do you see yourself five years from now? I rarely know where the future will lead me - not even a year in advance. Last year, for example, after leaving the logistics business 22 years earlier, I received a call out of the blue from a former business partner. We’re now developing a software platform concept I had conceived in 1995 that has brought me back to Buenos Aires for the immediate future. So, you never know where the crooked road of life will take you, or when or how opportunities will present themselves. How would you describe yourself in one word? Adventurous What are your future plans for Incognito Worldwide? Because we have a steady inflow of client work for the short term, and partnership properties we’re managing and promoting over the long-term, my plans this year have been more focused on working with our directors. They’re learning business management, business strategy, corporate compliance, and accounting among other things. These are foundational blocks that any self-sustaining entrepreneur needs to know. This allows them to then carry more responsibilities in the day to day running of the corporation, rather than just running the departments of their expertise. On a lighter note, what would you do if you woke up one morning and found that you had become Sundar Pichai, the CEO of Google? I’d tell my assistant “no more morning tea with my omelette! Bring me coffee instead.
